ABSTRACT
This study investigates the moderating effect of agency costs on the relationship between board dynamics and financial performance in listed non-financial firms in Nigeria. The Nigerian business environment has witnessed significant changes in recent years, and understanding the dynamics of corporate governance is crucial for sustaining and enhancing financial performance. The board of directors, as a key element of corporate governance, plays a pivotal role in shaping organizational strategies and decisions.
The research employs a quantitative research design, utilizing data from a sample of listed non-financial firms in Nigeria. Board dynamics are measured through variables such as board size, board independence, and board diversity. Financial performance is assessed using various financial indicators, including return on assets, return on equity, and earnings per share. Additionally, agency costs, such as managerial entrenchment and information asymmetry, are incorporated into the analysis as moderating factors.
The findings from this study aim to contribute to the existing literature by offering insights into the nuanced relationship between board dynamics and financial performance in the Nigerian context, considering the moderating influence of agency costs. The research hypothesizes that the impact of board dynamics on financial performance is contingent upon the levels of agency costs present in the firm.
